Roles and Responsibilities:

Transaction Evaluation and Documentation:

  • Analyze transaction offering memoranda and associated documents to identify key accounting issues and potential risks.
  • Prepare preliminary data requisition lists to ensure smooth engagement processes.
  • Participate in management calls to present findings from financial statement and accounting record reviews.

Quality of Earnings (QoE) and Financial Adjustments:

  • Evaluate the quality of earnings and prepare adjusted EBITDA schedules, addressing management adjustments, non-recurring items, and normalization adjustments.
  • Conduct working capital analysis and identify debt, contingencies, and other items impacting purchase price agreements.

Financial Analysis and Due Diligence:

  • Analyze historical and projected financial trends through detailed income statements and balance sheets.
  • Perform in-depth analyses of cash flows, payroll costs, customer churn, and other financial metrics.

Risk Assessment and Contract Review:

  • Review contracts, agreements, and industry trends to identify risks affecting deal terms or pricing.
  • Benchmark target company performance against market trends using public data.

Reporting and Client Deliverables:

  • Develop comprehensive reports and financial schedules, ensuring accuracy and client alignment.
  • Conduct quality checks to maintain the reliability of deliverables.

Team Development:

  • Mentor and support junior staff, fostering their growth and ensuring high-quality outputs.
  • Share knowledge within the team to enhance technical and analytical expertise.

Qualification and Education Requirements:

  • Education: CA, CPA, CFA, MBA (Finance), or equivalent qualification.
  • Experience: 3-6 years in financial due diligence, audit, or transaction advisory services.
  • Strong understanding of technical accounting (US GAAP/IFRS) and financial analysis.
  • Proficiency in Microsoft Excel, PowerPoint, and financial modeling tools.
  • Excellent communication skills with the ability to work in a hybrid environment.
  • High attention to detail and the ability to manage multiple priorities.

Preferred Background:

  • Proven ability to handle both technical and strategic dimensions of the role.
  • Strong interpersonal skills to manage client expectations and internal team collaboration.
